Zukiwoo Platform Terms & Conditions

These Terms & Conditions (“Terms”) govern your use of the Zukiwoo website, mobile application, and related services (collectively, the “Platform”), operated by Zukiwoo Enterprises Ltd 11 Lime Tree Walk, Sevenoaks TN13 1YH (“Zukiwoo,” “we,” “our,” or “us”).
By accessing or using the Platform, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Platform.
1. About Zukiwoo
Zukiwoo is a reservation platform that connects diners with excellent restaurants while promoting sustainable dining practices. Restaurants can list their venues, publish offers, and receive bookings from diners. Diners can discover, reserve, and enjoy curated food experiences.
2. Eligibility and Registration
You must be at least 18 years old to use Zukiwoo. By registering for an account, you represent and warrant that you are legally capable of entering into binding contracts.
You agree to:
Provide accurate, current, and complete information.
Keep your login credentials secure.
Update your information as needed to maintain accuracy.
3. Platform Use
3.1 Acceptable Use
You agree not to:
Use the Platform in a way that is unlawful, harmful, or fraudulent.
Access, tamper with, or use non-public areas of the Platform or its systems.
Reverse engineer, decompile, or attempt to extract the source code.
Disrupt or interfere with the integrity or performance of the Platform.
We reserve the right to suspend or terminate your account at any time for violating these Terms.
4. Restaurant Listings & Obligations
Restaurants agree to the following:
4.1 Accurate Information
You must ensure that all details — including address, contact information, opening hours, menu, pricing, offers, and sustainability claims — are true, up-to-date, and not misleading.
4.2 Offers and Promotions
You may run offers or discounts through Zukiwoo at no additional cost. We reserve the right to review and remove any offer deemed inappropriate, discriminatory, or misleading.
4.3 Booking Management
You are responsible for:
Ensuring table availability matches your settings on Zukiwoo.
Honouring all reservations made via the Platform.
Managing cancellations or unforeseen disruptions promptly and professionally.
4.4 Seated Guest Fee
You agree to pay Zukiwoo a fee of £3 per seated guest resulting from a reservation made via the Platform. This is our only fee — there are no setup costs, listing fees, or subscriptions.
5. Diners’ Responsibilities
By making a reservation on Zukiwoo, diners agree to:
Show up for confirmed bookings on time.
Cancel with reasonable notice if they can no longer attend.
Provide honest reviews based on genuine experiences.
Repeated no-shows or misuse of the platform may result in account suspension.
6. Payments, Invoicing & Taxes
6.1 Restaurants
Invoices for seated guest fees will be issued monthly.
Payment is due within 14 days unless otherwise agreed.
Late payments may incur interest and/or result in suspension of listing.
6.2 Taxes
All fees are exclusive of VAT unless stated otherwise. Restaurants are responsible for reporting and paying any taxes owed in their respective jurisdictions.
7. Sustainability and Environmental Claims
Zukiwoo encourages sustainable dining but does not independently verify all sustainability claims made by restaurants. Any certifications or environmental information are provided by the restaurants themselves.
We reserve the right to request documentation for verification purposes and to remove claims we deem unverifiable or misleading.
8. Intellectual Property
All content created by Zukiwoo — including the Platform’s design, branding, software, and original content — is owned by Zukiwoo Ltd. You may not copy, reproduce, distribute, or modify any of our intellectual property without written consent.
Restaurants retain ownership of their own content but grant Zukiwoo a non-exclusive, royalty-free license to use, display, and promote that content on the Platform and in marketing materials.
9. Platform Availability & Changes
We strive to provide uninterrupted access to the Platform but cannot guarantee availability at all times. Maintenance, updates, or unforeseen technical issues may cause temporary downtime.
We reserve the right to:
Add or remove features.
Modify the user interface.
Change the pricing structure (with advance notice to restaurants).
Discontinue the service, in part or in whole.
10. Reviews and User-Generated Content
Users may post reviews or other content, provided it:
Is accurate, non-defamatory, and respectful.
Does not infringe on the rights of others.
Does not promote hate speech, spam, or commercial solicitation.
We reserve the right to remove any content that violates these principles.
11. Privacy and Data Use
We take data protection seriously. Our [Privacy Policy] explains how we collect, use, and store your personal data in accordance with UK GDPR and other applicable laws.

We only use your data to provide and improve our services.
We never sell your personal data.
You have the right to access, correct, or delete your information.
12. Disclaimers and Limitations of Liability
Zukiwoo provides the Platform on an "as-is" and "as-available" basis. To the fullest extent permitted by law:
We make no warranties, express or implied, regarding accuracy, reliability, or availability.
We are not liable for the quality of food or service at any listed restaurant.
We are not responsible for missed bookings, delays, or acts of nature.
Our total liability to you is limited to the amount you have paid us in the past 12 months.
13. Termination
We may suspend or terminate your account:
If you breach these Terms.
If you misuse the Platform.
If required to do so by law.

14. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Changes to These Terms
We may update these Terms from time to time. We will notify users of significant changes by email or via the Platform. Continued use of the Platform after changes are posted constitutes acceptance of the new Terms.
